I. OBJECTIVE

To locate a Private Equity Firm, in partnership with CEO Rick Caporale, to acquire and operate a platform company in the following areas:

  1. Seed and Early-Stage Green, Clean, Environmental or Water Companies: Companies that produce distribute or service high technology products in green, clean, environmental or water industries.

II. RICK CAPORALE BACKGROUND

Experienced environmental and green technology business manager with specific product management and business management skill sets used for start-up and existing company growth. Mr. Caporale combines his technical background with high-energy sales/marketing approach to transcribe high-tech products into successful business enterprises. Professional background includes 25 years of environmental, green and clean companies management and consulting experience in both National and International markets. Mr. Caporale holds a Bachelors degree in Chemistry from the University of Northern Colorado. He is a 15-year member and board member of Young/World Presidents Organization, Southern California Chapter.

Key note accomplishments include successfully transitioning start-up businesses on all levels in the supply chain. Additionally, he is experienced in the interfacing requirements of managing companies comprised of highly intelligent high-tech founders and their capital partners. His experiences are highlighted below:

Green Tech

  • Identified, screened, and provided acquisition structure for a GreenTech driven company with a patented “green stabilization of metals and sludge process” which complemented the current companies, as well as providing for manufacturing leadership and a steady positive cash flow.
  • Director of a manufacturing and distribution company specializing in a number of proprietary and patented “green” technologies used for direct industry applications. The world-wide distribution rights were acquired for these EPA approved “enzyme-based” formulas used in applications such as replacing industry cleaning solvents, preventing soil erosion and loss, stabilizing dirt roads and providing agricultural growing advantages.
  • Director, Valley of the Sun Cosmetics, LLC, a U.S. manufacturer of environmentally friendly, “Organic” shampoos and skin care products sold to distributors in Asia and Persian Gulf countries.
    • Reduced cost of goods by 25%;
    • Eliminated non-producing reps and territories and focused company in region with “low-hanging fruit”;
    • Personally met with reps in 6 Middle Eastern countries and established marketing plans and point of sale needs for developing Brand loyalty;
    • Streamlined production and operational procedures and moved company to more efficient building;
    • Pruned low selling and low profit margin Brands and focused on top selling Brands;
    • During a 30-month period increased monthly sales average from $15k to $200k.

CleanTech & Water

  • Prepared 5 year business plan and program for $15 million revenue company, Watershed Holdings Corporation which included the acquisition of GreenTech technologies used in water exploration, extraction and delivery. Raised over $4.5 million in private equity financing used to cancel bank debt and initiate phase I of the acquisition and growth agenda.
  • Helped start and transition an Original Equipment Manufacturer (OEM) of water and air treatment equipment into large scale air pollution control equipment with a program specializing in the reduction of industry energy use by using heat generated from the upgrade of existing air emissions treatment units. Expanded business revenues from start up to $4.8 million in three (3) years.
  • Partner in start-up of Alternative Energy company focused on installation of PV, LED and Thermal for large-scale community associations and country clubs.
  • Advisor to Water Platform company comprised of patented technologies used in filtration, treatment and monitoring of water in agriculture, industry and municipalities.

EnviroTech

  • Responsible for preparing and implementing the first marketing plan for a $50 million environmental engineering firm that used unconventional marketing methods of increasing top line revenues. Successfully increased Southern California sales by 150% during first year of business development.
  • Started offices in Washington, Southern California and Arizona by identifying and selling client opportunities; staffing the offices and providing initial growth oversight.
  • Identified, acquired and helped grow start-up Bioremediation firm as part of an environmental remediation company growth strategy.
  • Started a mobile laboratory, Sierra Laboratories, with minimal capital, turning profitable in second year. Expanded capabilities and geographic market share through the acquisition of a bankrupt competitor. Purchased all existing equipment for $.20 on the dollar and within eight two (2) years, newly merged laboratories reached 16% net before tax profitability with gross margin exceeding 40%.
  • Started an environmental engineering & contracting firm with minimal capital and averaged 22% net before tax income during the first six (6) years of operation on revenues of approximately $4.7 million.
